I walk in shadows searching for light,cold and alone no comfort insight Hoping and praying for someone who cares always moving but going no where. The above lines are from the Motown classic What Becomes of the Brokenhearted. A song I recently had the pleasure of singing on, they also describe the plight of the thousands of homeless in our city.The song will appear on the soundtrack of our upcoming drama series "Chameleon". Mari-Lyn,

If you are asking about the paperwork to consummate a deal - then it will depend upon the type of transaction. If you are dealing with a "professional" angel - they may well present you with a term sheet that leads to an agreement, which will then be finalized by a legal document such as a stock purchase agreement. 

Depending upon the specific situation, one could also use a Subscription Agreement. These are typically a part of a Private Placement Memorandum (PPM)

However, unless you are using a PPM - you will need some documents prior to the agreement. Typically, an executive summary which you will use to get interest, then a business plan for those interested parties to review.

The paperwork is likely to be contingent upon the individual angel...I'd get to know them first...and then, ask them what paperwork they need....
