Tunesmith Entertainment is creating a new model in the music industry that reaches out to brands for long term partnerships with our talent. We would like funding for 12 projects in the next 3 years for development thru distribution of product. We offer an excellent ROI and would love to share our business plan.

I walk in shadows searching for light, cold and alone no comfort insight Hoping and praying for someone who cares always moving but going no where. The above lines are from the Motown classic What Becomes of the Brokenhearted. A song I recently had the pleasure of singing on, they also describe the plight of the thousands of homeless in our city. The song will appear on the soundtrack of our upcoming drama series "Chameleon". If you would like to be a part of our campaign to affect homelessness in Houston then abroad. Let me no i'll tell you how

Vincent,

It should not be a problem but I will double check on that, the minimum is 1000 shares. Thanks for the help.

Is there a minimum amount of shares one must purchase?

Have you confirmed that you can offer shares publicly via groups?

Mari-Lyn,

If you are asking about the paperwork to consummate a deal - then it will depend upon the type of transaction. If you are dealing with a "professional" angel - they may well present you with a term sheet that leads to an agreement, which will then be finalized by a legal document such as a stock purchase agreement.

Depending upon the specific situation, one could also use a Subscription Agreement. These are typically a part of a Private Placement Memorandum (PPM)

However, unless you are using a PPM - you will need some documents prior to the agreement. Typically, an executive summary which you will use to get interest, then a business plan for those interested parties to review.

Hope this helps. Feel free to drop me a PM or contact me directly, if you want to discuss your specific situation.
